1. Who we are and what these terms cover

Succession Radar is operated by PromptWorks AI Ltd ("we", "us"). These terms govern your use of the service. By creating an account or subscribing, you accept them. If you are agreeing on behalf of an organisation, you confirm you have authority to bind it.

We may update these terms, for example when we add a feature that needs rules of its own. Each version carries its date at the top of this page. When the version changes, the dashboard asks you to accept the current version before you continue, and some features (the MCP connector, clause 6) will not work until you have. Accepting a new version means it applies to you from then on. If you do not want to accept it, you can cancel from the billing portal under clause 7.

2. What the service does

Succession Radar analyses public information from the Companies House register and other public sources to identify UK companies whose ownership may be approaching succession, and presents this to you with tools to record your outreach. The service provides research leads. It does not provide advice, and it does not confirm that any company is for sale or that any individual wishes to sell.

3. Accuracy and no warranty on leads

The data is derived from public filings and is provided "as is". In particular you acknowledge:

• Ages are approximate. Companies House publishes only the month and year of birth, so any age may be out by up to a year.
• Some ownership figures are estimated from PSC control bands rather than exact filings, and are flagged as such.
• Automated parsing of filings can be incomplete or wrong, and a company's circumstances may have changed since its last filing.
• A succession "signal" is a hypothesis for you to investigate, not a statement of fact about any company or person. An individual may have a succession plan that is not visible on the register.

You are responsible for verifying any lead against primary sources before acting on it. We do not warrant that the data is accurate, complete, or current, and we are not liable for decisions you take in reliance on it.

4. Your data protection obligations

This clause is important and is a condition of your use. When you export, download, or otherwise act on personal data from the service, you become an independent data controller of that data and are responsible for your own compliance with UK GDPR and PECR. You agree that you will:

• Use the data only for the legitimate purpose of researching and making genuine acquisition, investment, or professional-advisory approaches.
• Not resell, republish, sublicense, or redistribute the data, or incorporate it into any product or list made available to others.
• Conduct outreach lawfully. You accept that postal contact carries the lowest regulatory risk, and that electronic marketing (email, SMS, automated calls) to individuals is subject to PECR consent rules which you are responsible for meeting.
• Honour any objection or opt-out by an individual promptly, and not re-contact anyone who has objected.
• Maintain your own lawful basis, your own privacy notice to the extent required, and your own ICO registration where applicable.
• Not use the data to harass, intimidate, or exert undue pressure on any individual, nor to build any profile beyond the acquisition-research purpose.

You will indemnify us against claims, losses, and regulatory action arising from your breach of this clause or your unlawful use of the data.

5. Acceptable use

You must not attempt to circumvent access controls, scrape or bulk-extract the service beyond your plan's limits, share your login, or use the service to compile a competing dataset. We may suspend or terminate accounts that breach these terms or that we reasonably believe are being used unlawfully.

6. AI assistants and the MCP connector

Annual subscribers, and subscribers on the standalone connector plan, can connect an AI assistant to the service through our Model Context Protocol ("MCP") connector. The connector returns company-level information only: a company's filed figures, its registered charges and public notices, the succession signal we compute for it, and the approximate ages of its controllers as figures and bands attached to the company. It does not return any individual's name or date of birth, and it is not a way of obtaining them. What it returns is still data from the service for the purposes of clause 4, whether or not any single answer names a person, and clause 4 applies to it in full. Every answer carries the Companies House attribution and our disclaimer. When you use the connector you agree that you will:

• Not use it to harvest the service in bulk — whether by repeated calls, by scripting a client, or by any other means of accumulating rows beyond the per-call and daily limits for your plan (currently 25 rows per call and 500 rows per day; every answer reports the cap and your remaining daily allowance).
• Not use what the connector returns to build a profile of, or draw inferences about, any individual beyond the acquisition-research purpose in clause 4, and not attempt to reconstruct from it the things the connector withholds — names, dates of birth, officer and PSC records. Looking up a company's officers on the public register in order to make a genuine approach under clause 4 is not what this prohibits.
• Retain the Companies House attribution, and our disclaimer where it is given, on anything you derive from connector output, including summaries and reports produced by your assistant.
• Not resell, republish, or otherwise make available tool output, or anything substantially derived from it, to anyone outside your organisation.

The AI assistant and the provider behind it are your choice and act on your instruction. The connector answers whatever client you have connected; for a hosted assistant that client runs on your provider's own servers, so the provider receives connector output directly, as your agent, under your agreement with them and possibly outside the UK. We have no contract with your provider and give it no instructions of our own. You are responsible for choosing a provider whose terms suit your obligations under clause 4, and for what that provider does with the output. Use of the connector is logged — which account, which connecting client, which tool, which companies were returned, and when; never the text of your queries, only a one-way keyed fingerprint of them — and it depends on a current subscription and on your having accepted the current version of these terms.

7. Subscriptions, payment and cancellation

Paid plans are billed in advance via our payment processor, Stripe. The monthly dashboard plan and the standalone MCP connector plan are billed monthly on a rolling basis; the annual plan is billed for the year in advance and includes the MCP connector. The standalone connector plan covers the connector only — the dashboard remains at the free tier's limits, and it does not include CSV export, API keys or the watchlist. You can cancel at any time from the billing portal; cancellation takes effect at the end of the current billing period and we do not refund part-periods unless required by law. We may change pricing on 30 days' notice.

8. Availability

We aim to keep the service available but do not guarantee uninterrupted access. Cohort builds depend on third-party rate limits (notably Companies House) and may take time or occasionally fail; this is inherent to the data source and is not a defect.

9. Liability

Nothing in these terms limits liability that cannot lawfully be limited (including for death or personal injury caused by negligence, or fraud). Subject to that, our total liability to you in any 12-month period is limited to the fees you paid us in that period, and we are not liable for indirect or consequential loss, loss of profit, loss of opportunity, or losses arising from your reliance on the data or from your own outreach activity.

10. Intellectual property

The underlying company data originates from Companies House under the Open Government Licence. Our compilation, classification, software, and presentation are our property. Your subscription grants you a limited, non-transferable right to use the service for your own acquisition research, and nothing more.

11. Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
